1 - Terms of Use

DiaNorth Terms of Use These Terms of Use ("Terms") set out the conditions governing access to and use of the website "DiaNorth-Hokkaido" (the "Site"), operated by DiaNorth ("we," "us," or "the Company"), including purchases made through the Site. These Terms incorporate, and form a single set with, our Privacy Policy, Refund Policy, Warranty Policy, Cookie Policy, and any other policies published on the Site (collectively, the "Related Policies"). Where a Related Policy addresses a specific matter differently from these Terms, the Related Policy governs that matter. By accessing or using the Site, or by placing an order through the Site, you confirm that you have reviewed and agree to these Terms and the Related Policies. If you do not agree, please refrain from using the Site. Article 1 (Scope and Eligibility) These Terms apply to everyone who accesses or uses the Site ("Users"). Users may not register, operate, or promote any website, domain, social media account, marketplace store, trade name, or other commercial presence using "DiaNorth," "DiaNorth-Hokkaido," or any confusingly similar name or identifier in a manner that could create a false impression of a relationship with us. Users may not represent or imply that they are our official distributor, sales agent, representative, partner, or other authorized agent without our prior written permission. Nothing in these Terms grants Users any right to use our name, trademarks, logo, site identifiers, or other intellectual property, except as we expressly authorize in writing. Article 4 (Prohibited Conduct) In connection with use of the Site, Users may not: Violate applicable law or public order and morals Infringe our copyright, trademark, or other intellectual property rights, or those of a third party Infringe our property, reputation, privacy, or other rights or interests, or those of a third party Place an excessive or unreasonable load on the Site, servers, networks, or infrastructure Use bots, crawlers, scraping tools, data-mining tools, or other automated means to collect or acquire information from the Site in bulk or on an ongoing basis, except where we expressly permit this or law allows it Gain unauthorized access to, misuse, interfere with, or attempt to circumvent the Site's systems, security measures, authentication features, or other technical safeguards Impersonate us or a third party, or misrepresent an affiliation with us Use information obtained through the Site for unlawful, fraudulent, or unauthorized commercial purposes Place an order using false, incomplete, or fraudulent information, or without genuine intent to purchase Disrupt, or attempt to disrupt, the normal operation, security, or availability of the Site Engage in any other conduct we reasonably determine to be inappropriate or harmful to the Site's operation or to our legitimate interests or those of a third party Article 5 (Information on the Site) We make reasonable efforts to keep information on the Site accurate, complete, and current, but we do not guarantee that all information is free of errors or omissions at all times. Product information, specifications, prices, stock status, images, descriptions, and other content may be changed, updated, or removed without notice. Due to display settings, lighting conditions, photography conditions, manufacturing variance, and other factors, the color, appearance, texture, or other characteristics of products shown on the Site may differ from the actual product. Article 6 (Orders, Contract Formation, and Pricing/Display Errors) An order placed through the Site is an offer to purchase made by the User, not an acceptance by us. A sales contract is formed when we send a shipping confirmation for the item, or when we expressly accept the order in writing. An automated order-receipt notification does not, by itself, constitute acceptance. Notwithstanding the foregoing, we may refuse, cancel, or correct all or part of an order, whether before or after sending a shipping confirmation, in any of the following cases: The displayed price, description, specifications, or stock status contained an obvious error (including, but not limited to, a typographical error, data-entry mistake, currency conversion error, or system error) The product is unavailable due to being out of stock, discontinued, or similar reasons We reasonably suspect fraudulent, unauthorized, or unlawful conduct in connection with the order, or a violation of these Terms Delivery to the User's location is reasonably impossible due to legal, logistical, or customs constraints If we cancel or correct an order under this Article, we will notify the User as promptly as reasonably possible and, if payment has already been made, refund the full amount paid for the affected item. This Article reflects principles generally recognized under Japanese law — including the doctrine of mistake under the Civil Code and the treatment of clear input or display errors in electronic consumer contracts — under which a party is not bound by a transaction resulting from a serious, good-faith error, provided this does not disadvantage an affected consumer. Prices displayed on the Site include consumption tax, as set out in the Related Policies. Article 7 (Links to and from the Site) Links to the Site may generally be set up without prior permission, provided they do not create a false impression of an affiliation, endorsement, sponsorship, or other relationship with us. We may request the removal of links that misrepresent us, misrepresent the linking party's relationship with us, are intended to damage our reputation or brand image, or are otherwise deemed inappropriate. We are not responsible for the content, products, services, policies, security, or operation of third-party websites linked to or from the Site. Article 8 (Suspension, Modification, or Discontinuation of the Site; Force Majeure) We may temporarily suspend, modify, restrict, or discontinue all or part of the Site without notice when reasonably necessary, including in the following cases: Maintenance, inspection, updates, repairs, or other technical work A failure or disruption of communication lines, servers, systems, or other infrastructure Natural disaster, power outage, accident, cyber incident, epidemic, labor dispute, customs or transport disruption, or other event reasonably beyond our control ("Force Majeure Event") Any other circumstance we reasonably determine necessary for security, legal, regulatory, or operational reasons If a Force Majeure Event delays or prevents fulfillment or delivery within the estimated shipping timeframes set out in the Related Policies, our performance obligations are suspended for the duration of that event, and we will notify affected Users as promptly as reasonably possible. Except where we cannot be exempted from liability under applicable law, we are not liable for damages arising from measures taken under this Article. Article 9 (Restriction of Use) If a User violates these Terms or applicable law, or engages in conduct that may interfere with our operation, security, or legitimate interests, or those of a third party, we may restrict or suspend that User's access to or use of the Site without notice. Where our rights or legitimate interests are infringed, we reserve the right to take appropriate action permitted under applicable law, including legal action where necessary. Article 10 (Disclaimer and Limitation of Liability) We make reasonable efforts to maintain the availability, security, and proper operation of the Site, but we do not guarantee that the Site will always be available, uninterrupted, secure, accurate, or complete, or free of errors, defects, viruses, or other harmful elements. To the maximum extent permitted by applicable law, we are not liable for damages arising from or related to use or inability to use the Site, except where caused by our intent or gross negligence, or where liability cannot be excluded under applicable law. For "DiaNorth Original" products that we manufacture, supply, and ship under our own quality control, we provide a warranty in accordance with our Warranty Policy. For made-to-order items, products sourced from overseas suppliers, and products from overseas partner brands, the products themselves may be manufactured or supplied by a third party. Except where liability cannot be excluded under applicable law, we are not liable for defects arising solely from that third party's manufacturing or production process. The same applies to performance or suitability issues arising from use of a product in a manner other than as recommended by its manufacturer or supplier. We are not liable for transactions, disputes, or other matters arising between a User and a third party in connection with use of the Site, except where directly attributable to us. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under the Consumer Contract Act or other mandatory law applicable to Users. Article 11 (Governing Law and Jurisdiction) These Terms are governed by, and shall be interpreted in accordance with, the laws of Japan. Except as otherwise provided by applicable law, any dispute arising between us and a User in connection with use of the Site or these Terms shall be subject to the exclusive jurisdiction of the court having jurisdiction over our principal place of business as the court of first instance. Article 12 (General Provisions) Severability. If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be modified or removed to the minimum extent necessary, without affecting the validity of the remaining provisions. Entire Agreement. These Terms, together with the Related Policies, constitute the entire agreement between us and the User regarding use of the Site, superseding any prior agreements or understandings on the same subject. No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or of our right to enforce it later. Assignment. We may assign all or part of our rights and obligations under these Terms in connection with a transfer of all or a substantial part of our business, a merger, acquisition, or corporate reorganization. Users may not assign their rights or obligations under these Terms without our prior written consent. Language. The Japanese-language version of these Terms is the authoritative text for customers within Japan. Where versions in other languages are provided, the Japanese version prevails in the event of any discrepancy in interpretation, except as otherwise provided by applicable law. 2 - Privacy Policy

DiaNorth Privacy Policy 1. Business Operator Information DiaNorth ("we," "us," or "the Company") is an outdoor brand based in Hokkaido. We comply with Japan's Act on the Protection of Personal Information ("APPI") and other applicable laws, and handle your personal information appropriately. 2. Information We Collect We collect the following information during checkout and other necessary interactions: Name Email address Shipping address (at time of purchase) Order history Chat history with DiaNorth Direct (if used) We do not collect or store sensitive payment information such as credit card numbers or bank account details. Payment processing is handled securely through KOMOJU and Stripe. 3. Purposes of Use Order processing and shipping Providing customer service and after-sales support Fulfilling legal and contractual obligations Improving our products and services Preventing fraud and ensuring security Responding to inquiries about past orders Regarding partner-shipped products (direct shipment from overseas suppliers): We provide the supplier with your name, shipping address, and contact information, limited to what is necessary for shipping. This data remains under contractual controls and is not shared with third parties except: When confirming delivery status or address details is necessary When disclosure is requested by a government authority under applicable law We do not sell personal information to third parties, except with your consent or as required by law. 4. Data Retention Period We retain personal information only for as long as necessary to fulfill its purpose, and securely delete it after any legally required retention period has passed. 5. Cross-Border Transfer of Personal Data Because we use service providers based outside Japan — including Wix, KOMOJU, and Stripe — to operate the Site and process orders, personal data may be transferred outside Japan. In accordance with APPI's rules on cross-border third-party provision, we: Ensure protective measures equivalent to APPI's required standard through contracts and other means with the receiving provider Upon request, inform you, to the extent possible, of the destination country and whether that country has a personal information protection system Obtain appropriate consent where required 6. Oversight of Service Providers When we outsource part of our operations to payment processors, system providers, or similar parties, we verify their security measures when selecting them, impose contractual protection obligations, and review their handling of data as needed. For incidents occurring at a service provider, we, as the entity responsible for handling personal information, serve as the primary point of contact. We handle the response even in such cases, except where it is clear that the harm resulted from the service provider's gross negligence despite our appropriate oversight, and no fault lies with us. Where our own selection or oversight obligations were deficient, this exception does not apply, and we bear responsibility. 7. 3 - Refund Policy

Return, Refund & Exchange Policy As a general rule, DiaNorth does not accept returns, refunds, or exchanges for reasons of personal preference (e.g., choosing the wrong size, or the product not matching expectations). Please review product details thoroughly before purchasing. If you order with confidence, we stand by that choice with you. Eligible Cases A refund or exchange will only be considered if, at the time of delivery, one of the following is confirmed: You received a different size, color, or product than what you ordered There is a clear manufacturing defect that impairs use Please contact us within 7 days of delivery. Cases reported after this period will still be reviewed individually, but the burden of proving the defect rests with the customer. Upon Receiving Your Order (Important) If the packaging shows signs of damage or having been opened, do not open it — contact us immediately. If you open it yourself, we are not responsible for any damage that occurs afterward. Check the condition of the product before use. Issues discovered after use may be excluded from coverage, as it becomes difficult to determine whether the issue resulted from use or was present at delivery. When reporting a defect, you must include (1) a photo of the product together with its packaging, and (2) a detailed photo of the defect itself. Reports without photos cannot be processed. Our Records Products we ship are inspected and photographed before dispatch. If your report differs from our pre-shipment records, our records take precedence. Fraud Prevention If a claim is found to involve false reporting, or damage caused by use, we will decline that request. Cost Responsibility If the defect or shipping error is on our side: shipping and handling costs are covered by us. For all other cases (customer's own reasons): shipping and handling costs are the customer's responsibility. Exchanges If a replacement item is unavailable due to stock levels, we will process a refund instead. Order Cancellation We guarantee cancellation only within 42 hours of order confirmation. Our shipping partners may begin processing as early as 48 hours after confirmation, but we cannot control the exact moment shipping actually starts — which is why 42 hours is the deadline we can reliably guarantee. After that window, shipping preparation may have already begun, and cancellation may no longer be possible. Once a package has been shipped by the carrier, the shipping process cannot be stopped or reversed, so cancellations after shipment cannot be accepted under any circumstances. Partner-Shipped and Made-to-Order Products This Policy also applies to products shipped directly by overseas partners or made-to-order items, though handling may take longer due to coordination with the supplier. We remain your point of contact at all times — you will never need to deal directly with the supplier. Under our current published policy, imported or third-party-shipped products may not have undergone our final inspection, and minor discrepancies (such as a size difference of ±2cm) may be excluded from claims. This does not affect your legal rights regarding defects. This Policy does not limit your rights under Japan's Act on Specified Commercial Transactions or the Consumer Contract Act, nor any mandatory consumer protection rights applicable to customers under the laws of their own country.

4 - Warranty Policy

4 — Warranty Policy Warranty Policy DiaNorth In-House Stock For products we hold as in-house stock and manage under our own quality standards and inspection process, we provide the following warranty: We recommend contacting us within 7 days of delivery. Manufacturing defects reported within this period will receive priority handling. Defects discovered after 7 days will still be reviewed on a case-by-case basis — this period does not limit any rights you are legally entitled to (such as rights under non-conformity liability). Partner-Shipped and Imported Products For products shipped directly by overseas partner brands or suppliers, which are not under our inventory management, we are unable to directly verify or manage their condition and therefore cannot provide our own warranty. These products follow the warranty terms set by their respective manufacturer or supplier. We act as an intermediary to support communication between you and the supplier as needed, but except where this cannot be excluded under applicable law, we are not liable beyond the original scope of that warranty. Before purchasing, we recommend checking the product page to confirm whether an item is "DiaNorth In-House Stock" or "Partner-Shipped." Made-to-Order Products For made-to-order (on-demand) products, responsibility for manufacturing defects depends on the following: Third-party brand products: Manufacturing defects are covered under that brand or manufacturer's own warranty terms. We act as an intermediary to support communication between you and the manufacturer. However, our legal responsibility as the importer (including under the Product Liability Act) always applies to us, regardless of brand ownership. OEM products (unbranded, DiaNorth-specified): Since there is no separate brand owner, we bear full responsibility for manufacturing defects. These are handled the same way as "DiaNorth In-House Stock" items. When Reporting a Defect Please provide photos clearly showing the product's condition, and a video if possible, when reporting a defect. Communication Policy At DiaNorth, we are committed to responding to inquiries about our products and services with sincerity, care, and attention to each individual customer. The foundation of our communication is this: we review each inquiry carefully before responding, we give clear and easy-to-understand answers, and we tailor information to your specific situation. Rather than relying on generic templates or automated replies unrelated to your question, we make it a priority to understand what you're asking and explain what you need to know as clearly as possible. To maintain this quality of support, our contact channel is dedicated to matters related to DiaNorth-Hokkaido's products and services. Common inquiry topics include: Pre-purchase questions (product specifications, sizing, stock availability, compatibility, etc.) Questions about orders and shipping Post-purchase support (exchanges, returns, warranty, etc.) Questions about a product you've purchased Other inquiries directly related to shopping with DiaNorth Inquiries unrelated to DiaNorth-Hokkaido's business, products, or services fall outside the scope of this contact channel. This includes unsolicited sales or business proposals, advertising or promotional content, introductions of third-party products or services, and other content unrelated to our products or services. If an inquiry is generally related to our products or services but also includes unrelated topics or requests, we will respond only to the parts relevant to our products or services, and will not address the unrelated portions. To maintain a high standard of communication, we also review our outgoing responses for clarity, accuracy, and appropriate tone before sending them to you. We believe that good customer support isn't just about "replying" to an inquiry — it's about giving real time and attention to customers who genuinely need support. When We May Decline to Respond For genuine issues — such as order mistakes or product defects — we will respond sincerely and in full accordance with our Return, Refund & Exchange Policy and Warranty Policy, regardless of the nature of the issue. However, if during an interaction we identify abusive language, intimidating behavior, threats, defamation, obscene or inappropriate language, or other conduct that constitutes harassment toward our staff, we may end that interaction and decline further support. This does not affect any rights already established, such as a confirmed refund or exchange. In cases of serious or repeated misconduct, we may decline to accept further orders from that individual. We owe a duty of care for our employees' safety under Article 5 of Japan's Labor Contract Act, and this provision exists in part to fulfill that duty. Depending on the content, such conduct may constitute insult, defamation, intimidation, or obstruction of business under Japanese criminal law, and we may pursue legal action or consult with relevant authorities. Records of such interactions are retained for evidentiary purposes in accordance with the retention period set out in our Privacy Policy (generally 3 years). Estimated delivery: 4–10 business days. In-stock products (DiaNorth) / International shipping: The timeframe above does not apply. We cannot guarantee a fixed delivery time for international orders — depending on destination, customs, and local carrier conditions, delivery may take up to approximately one month. Customized / made-to-order items — Includes logo application and similar processes. Estimated completion: 8–25 business days. Imported / overseas partner brands — Shipped through international logistics. Estimated completion: 13–25 business days. These are estimates published on the Site and are not guaranteed. International shipping in particular may vary from these estimates due to factors beyond our control, including customs procedures, local carrier conditions, weather, and international shipping network congestion. Anti-Fraud Policy 1. Purpose This Policy is established to protect both DiaNorth and our legitimate customers from fraudulent orders, impersonation, and unauthorized chargebacks. The measures described here do not affect the rights of legitimate customers under our Return, Refund & Exchange Policy or Warranty Policy. 2. Response to Fraudulent Orders Under Articles 5 and 7 of our Terms of Use, we may hold, cancel, or reject an order if we reasonably determine any of the following: The order was placed using false or inaccurate information The order appears to lack genuine purchase intent (including abnormally large orders suggesting resale purposes) The order comes from a customer, device, or payment method previously linked to confirmed fraudulent activity Any other reasonable suspicion of fraudulent use 3. Partner-Shipped / Supplier Direct Ship — Products shipped directly to you by an overseas partner brand or supplier (i.e., drop-shipping). Made-to-Order (On-Demand) — Products manufactured after your order is placed. 1. What Are Partner-Shipped Products? Partner-shipped products are sent directly to you from the warehouse of an overseas partner brand or supplier that we select and manage. We do not physically store or inspect these products, but we remain your single point of contact for transaction processing, customer support, and issue resolution at all times. You will never need to deal directly with the supplier. 2. Effect on Delivery Time Partner-shipped and made-to-order products take longer to arrive than in-house stock items.
